Download PDF1. Currency and Indirect Tax
All fees quoted by Nvantis are denominated in United States dollars (USD) unless otherwise stated in the relevant proposal or statement of work.
DAWN JON Inc. is incorporated in the British Virgin Islands. The tax treatment applicable to any invoice will depend on the nature of the services, the client's jurisdiction, and any applicable tax law. Each invoice states the applicable tax treatment. Clients are responsible for any taxes, duties or withholding obligations applicable in their own jurisdiction.
2. When Invoices Are Issued
2.1 Retainer engagements
Retainer fees are invoiced in advance at the start of each billing period, on the date specified in the relevant proposal or statement of work. The first invoice is issued on or before the commencement date of the engagement. Subsequent invoices are issued on the same date in each following period unless otherwise agreed in writing.
2.2 Project milestone engagements
For project-based engagements, invoices are issued on completion of each milestone or on the date specified for that milestone in the relevant proposal or statement of work, whichever is earlier. Where a deposit or mobilisation fee is required, that invoice is issued before work commences and is payable before Nvantis begins preparatory work.
2.3 Ad hoc and consultation fees
Fees for individual consultations or ad hoc advisory sessions are invoiced at the time of booking or immediately following the session, as stated at the time of booking.
3. Accepted Payment Methods
Nvantis accepts payment by the following methods only:
- Bank transfer — to the account details shown on the relevant Nvantis invoice. Banking instructions are issued exclusively on official numbered invoices sent from an @nvantis.com email address. See section 9 for important fraud guidance.
- Card payment — processed securely by Stripe, Inc. via the payment link provided on the invoice. Nvantis does not receive or store payment card data. Stripe's privacy policy is available at stripe.com/privacy.
Cash payments are not accepted under any circumstances.
Payment from a third party — meaning any person or entity other than the client named on the invoice — is not accepted without Nvantis's prior written agreement. Where third-party payment is agreed, the client remains liable for the full invoice amount until payment is confirmed as received and cleared.
4. Payment Terms
Invoices are payable within 14 days of the invoice date unless different terms are specified in the relevant proposal or statement of work. The due date is shown on each invoice.
Payment is considered received only when the full invoiced amount has cleared into Nvantis's account in the invoiced currency. Partial payments do not constitute settlement of an invoice unless Nvantis has agreed otherwise in writing.
Queries regarding an invoice must be raised in writing to [email protected] before the due date. Raising a query does not extend the payment due date for any undisputed portion of the invoice.
5. Late Payment
If an invoice is not paid by the due date, Nvantis reserves the right to:
- Charge interest on the overdue amount at a rate of 1.5% per month (or such rate as is permitted under applicable law, whichever is lower), calculated from the due date until the date of actual payment.
- Suspend all advisory services, deliverables and access to Nvantis personnel with immediate effect and without further notice, until all outstanding amounts including accrued interest are paid in full.
- Withhold delivery of any completed deliverables until the invoice to which they relate is settled.
- Terminate the engagement in accordance with the termination provisions of the relevant proposal or statement of work.
Nvantis will not be liable for any loss, delay or damage arising from a service suspension resulting from non-payment.
6. Bank Charges
The client is responsible for all bank charges, transfer fees, currency conversion costs and intermediary bank charges associated with making payment to Nvantis. Invoices must be settled in full in the invoiced currency and amount. Where a payment is received net of bank charges, Nvantis will issue a supplementary invoice for the shortfall.
7. Expenses
Out-of-pocket expenses reasonably incurred by Nvantis in the course of an engagement — including travel, accommodation, subsistence and third-party costs — are recharged to the client at cost, without mark-up, unless a fixed expense allowance has been agreed in the relevant proposal or statement of work.
Expenses exceeding USD 250 per item will be pre-approved by the client in writing before being incurred. Expenses below this threshold will be itemised on the relevant invoice with supporting receipts available on request.
8. Changes to This Policy
Nvantis may update this Payment Policy from time to time. The date at the top of this page indicates when the policy was last revised. The payment terms applicable to a specific engagement are those set out in the signed proposal or statement of work for that engagement.
9. Invoice Fraud Warning
Invoice fraud and payment redirection scams are a serious risk for businesses. Please read the following carefully before making any payment to Nvantis.
Our banking instructions are issued only on official invoices.
Nvantis bank account details appear exclusively on official, numbered invoices sent directly from an @nvantis.com email address. Our banking details are never published on this website, in marketing materials, in proposals, or in any other document. If you have received banking details from any other source, do not use them.
We will never notify a change of bank details by email alone.
If you receive any communication — by email, letter, or any other means — purporting to be from Nvantis and notifying you of a change to our bank account details, treat it as suspicious. Nvantis will never instruct a change of banking details solely by email. Any such change will always be confirmed by a direct telephone call from a known Nvantis contact to a telephone number you have independently verified.
Verify before you pay.
Before transferring any funds in response to an invoice or payment request, verify the payment details by calling Nvantis on a telephone number you have obtained independently — not a number provided in the email or document you are verifying. Do not rely solely on email confirmation.
If something looks wrong, stop and contact us.
If you receive a payment request that appears unusual, references unfamiliar account details, or arrives unexpectedly, do not make payment. Contact us immediately at [email protected] to verify the request before taking any action.
Nvantis accepts no liability for losses arising from payments made to fraudulent accounts where the client did not take reasonable steps to verify the payment details before transferring funds.
